Santa Ana, CA. (PRWEB) April 1, 2009 -- Orange County law firm Quinlivan Wexler LLP is proud to announce the addition of James Clough JD, LLM to the firm. Mr. Clough joins the firm as partner and will lead the firm's Corporate Law group.
Mr. Clough has more than 25 years of experience as a corporate lawyer representing clients ranging from Fortune 1000 companies and financial institutions to middle market companies, emerging growth companies and entrepreneurs. He is a corporate generalist with a broad range of experience that includes venture capital and private equity, mergers and acquisitions, joint ventures and corporate partnering, commercial transactions, licensing and other technology transactions and public offerings of securities. He is proficient in California and Delaware corporate law, SEC reporting and disclosure, the Sarbanes Oxley Act and corporate governance. He has served as outside or in-house chief legal officer managing all legal affairs including litigation management, government regulatory affairs, intellectual property protection and employee relations.
For many years Jim was a Partner of the major law firm, Pillsbury Winthrop Shaw Pittman LLP, serving as Chair of the Corporate Department of the Orange County office and as a founding Partner of the firm's Silicon Valley office. Before joining Pillsbury, he was a Partner of the highly regarded Los Angeles law firm, Kindel and Anderson, serving as Chair of the Corporate Department of the Orange County office.
Jim has been fortunate to have handled a broad range of transactions during the course of his career. Some of the more notable transactions include representing Wells Fargo in its venture capital investment in eCredit, London-based Cookson Group's electronics division in its manufacturing joint venture in China, Orange County-based plastics manufacturer Stewart-Walker Company in its sale to a portfolio company of ING Equity Partners, HP in the $80 million sale of an Internet exchange division, Tokyo Electron in the acquisition from Sony of a semiconductor equipment manufacturing division, Verizon Wireless in the outsourcing of a billing division to Accenture, meVC.com in the $350 million IPO underwritten by Prudential, and Credit Suisse in the underwriting of eStamp's $135 million IPO.
Jim received his JD degree in 1975 from the Albany Law School of Union University and his LLM in corporate law in 1979 from the New York University School of Law.
Jim is admitted to practice law in California, New York and the District of Columbia
